Terms of Service

Groniz is an autonomous growth agent for X (formerly Twitter). With your authorization, it writes, schedules, publishes, and engages on your connected X account to grow it against a goal you set. These Terms are an agreement between you and Groniz ("Groniz", "we", "us"). By creating an account or using the service, you agree to them.

1. The Service

1.1 Overview

Groniz operates an LLM-driven agent that, on a schedule and within the guardrails you configure, plans content, publishes posts, replies, and otherwise takes actions on the X account you connect. The agent actson your behalf and at your direction. You are solely responsible for every action the agent takes on your account, just as if you had taken it yourself.

1.2 AI and agentic actions

The service relies on artificial intelligence and large language models to generate content and decide actions. AI output can be inaccurate, incomplete, or inappropriate. We do not warrant that any generated content or action is accurate, suitable, or free of error. You are responsible for the goals, guardrails, and limits you set, and for reviewing the account's activity.

1.3 Your X account and authorization

To use Groniz you connect an X account and grant the permissions the service needs to act for you. We store the resulting credentials in encrypted form and use them only to operate the agent for that account. You may revoke access at any time from X or from your Groniz account; revoking access stops the agent's ability to act. Your use of X remains subject toX's own Terms of Serviceand developer policies, and you are responsible for complying with them.

1.4 Outbound activity

Because the agent posts and engages automatically, content may be published without a per-action review by you. You can pause the agent, change its goal and guardrails, or disconnect your account at any time. Groniz is not responsible for the consequences of content the agent publishes within the permissions and guardrails you configured.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use Groniz. You are responsible for the security of your account and for all activity under it, including actions the agent takes on the X accounts you connect. You agree to provide accurate information and to keep it current. We are not liable for any loss arising from unauthorized use of your account that is not caused by us.

3. Subscriptions and Fees

3.1 Subscriptions

Paid plans are billed in advance on a recurring basis through our third-party payment processor. By subscribing you authorize us and our processor to charge your payment method for the plan you select, including applicable taxes, until you cancel.

3.2 Renewals and cancellation

Subscriptions renew automatically at the end of each billing period unless you cancel before the period ends. You can cancel at any time from your account; cancellation takes effect at the end of the current period and you retain access until then.

3.3 Refunds

Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods or unused service.

3.4 Changes to fees

We may change our prices or plans. We will give you reasonable advance notice of any change that affects an active subscription, and the change will take effect on your next renewal.

4. Acceptable Use

You agree not to use Groniz to:

• Violate any law or regulation, or the rights of any third party.
• Violate the rules, terms, or automation and platform-manipulation policies of X or any other connected platform, including its spam and rate-limit rules.
• Create or distribute deceptive, misleading, or harmful content, including impersonation, spam, or coordinated inauthentic activity.
• Generate or publish content that is unlawful, harassing, hateful, or that infringes intellectual-property or privacy rights.
• Circumvent or attempt to circumvent any rate limit, budget cap, guardrail, or usage quota of Groniz or any connected platform.
• Reverse engineer, decompile, scrape, overburden, disrupt, or attempt unauthorized access to the service or its systems, or introduce malicious code.
• Resell or provide the service to third parties except as we expressly permit.

We may suspend or limit activity that we reasonably believe violates this section or that risks the health of your account or a connected platform.

5. Content and Intellectual Property

5.1 Your content

As between you and Groniz, you own the content the agent creates for your account and the content you provide. You grant us a non-exclusive license to host, process, and transmit that content as necessary to operate the service for you (for example, to generate, schedule, and publish posts, and to learn from outcomes to improve your results).

5.2 Our intellectual property

The service, including its software, models' orchestration, design, and brand, is owned by Groniz and its licensors and is protected by intellectual-property laws. Except for the rights expressly granted here, we reserve all rights.

5.3 Feedback

If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use it without restriction or obligation to you.

6. Privacy

Our Privacy Policyexplains what we collect, how we use it, and the third-party subprocessors that help us deliver the service. By using Groniz you agree to that policy.

7. Third-Party Services

Groniz integrates with third-party services, including X and the AI providers that power the agent. We are not responsible for third-party services, and your use of them is governed by their own terms. A third party may change, limit, or discontinue access to its platform, which may affect the service. We are not liable for any such change.

8. Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that it will achieve any particular growth, engagement, or other result. Groniz does not provide legal, financial, or professional advice.

9. Limitation of Liability

To the maximum extent permitted by law, Groniz and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or for the suspension, restriction, or loss of any X or other account, arising out of or related to the service. Our total liability for all claims relating to the service will not exceed the greater of the amounts you paid us in the twelve months before the event giving rise to the claim, or US $100.

10. Indemnification

You will indemnify and hold harmless Groniz and its officers, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising out of your content, your use of the service, your violation of these Terms, or your violation of any law or third-party right, including the rules of any connected platform.

11. Suspension and Termination

You may stop using the service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required to protect the service or a connected platform, or if required by law. On termination, your right to use the service ends; sections that by their nature should survive (including content licenses you granted, disclaimers, liability limits, indemnities, and dispute resolution) survive.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules.

Binding arbitration. Except for claims that may be brought in small-claims court, you and Groniz agree to resolve any dispute relating to the service through binding individual arbitration rather than in court. You and Groniz waive any right to a jury trial.

Class-action waiver. Disputes will be resolved only on an individual basis. You and Groniz waive any right to participate in a class, consolidated, or representative action.

Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing[email protected] with your account details and a clear statement that you opt out. Opting out does not affect any other part of these Terms.

13. Additional Provisions and Contact

We may update these Terms from time to time; the "last updated" date above indicates the current version, and your continued use after a change means you accept it. If any provision is found unenforceable, the rest remains in effect. These Terms are the entire agreement between you and Groniz regarding the service. You may not assign them without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
